Incentive-plan design — the Compensation Discussion & Analysis

We believe that a compensation program which promotes our ability to attract, retain and motivate outstanding executives will help us meet our long-range objectives, thereby serving the interests of the Company's shareholders. Our executive officer compensation program is designed to achieve the following objectives: Provide compensation opportunities that are competitive with those of companies of a similar size. Create a strong connection between executives' compensation and our annual and long-term financial performance. Include performance-based incentive compensation that offers an opportunity for above-average financial reward to executives without creating incentives for undue business risks. Design incentive compensation benchmarks that closely align the interests of executive officers with those of our shareholders.
