Equity-plan proposal screen
Read a share-request proposal the way a committee will be asked about it
Burn rate, overhang and dilution for a company’s equity compensation plan, each figure cited to the filing that reported it. $995, one company, one payment.
The share request, as filed
Shares to be issued on outstanding awards, shares remaining available, weighted-average exercise price and shares outstanding — each read from the filing that reported it and shown with its accession.
Burn rate
Gross shares granted in the year over weighted-average basic shares. Where the company publishes its own rate, that figure is shown; where it does not, the rate is computed from the company-wide grants in its filings and labeled as computed.
Overhang and dilution
Overhang on a fully-diluted denominator and dilution on a basic one, computed from the plan’s own share counts — two measures the page keeps distinct rather than printing one number twice.
The disclosed peer group
The peer companies the filer named in its own compensation discussion, for the fiscal year the plan figures come from.
