Incentive-plan design — the Compensation Discussion & Analysis

The compensation program for the Company’s named executive officers for 2025 had three primary components: base salary, annual bonus and equity grants. Base salaries are intended to provide a fixed component of compensation reflecting skill sets, experience, roles and responsibilities, while equity-based incentive awards are designed to align the interests of the Company with those of its employees and consultants.
