Incentive-plan design — the Compensation Discussion & Analysis

The Company's compensation philosophy aims to provide a competitive total compensation package to attract and retain highly qualified executives and to align certain compensation elements with the Company's annual performance goals. Because the Company has historically sought to preserve cash and does not operate at a profit, overall compensation is weighted more heavily toward equity-based compensation to align management objectives with stockholder interests regarding long-term performance.
