Incentive-plan design — the Compensation Discussion & Analysis

Our compensation philosophy is to provide executive officers with a competitive compensation package that is heavily weighted towards performance-based (performance stock units and annual bonus opportunity) and variable (restricted stock units) compensation to encourage superior business and financial performance over the short and longer term and, by linking compensation with stock price performance, to closely align the interests of our NEOs with those of our shareholders without encouraging excessive risk-taking.
