Incentive-plan design — the Compensation Discussion & Analysis

NL's executive officers are employees of Contran and provide services to NL pursuant to an Intercorporate Services Agreement (ISA). NL's compensation philosophy is based on the cost of employing these personnel, which is allocated to NL based on the estimated percentage of time devoted to the company, and is determined to be fair and reasonable without independent market research.
