Incentive-plan design — the Compensation Discussion & Analysis

The goal of the executive compensation program is to attract, motivate, and retain executives of outstanding ability, performance, and potential by combining competitive base pay with incentive cash compensation conditioned on the achievement of predetermined annual performance goals and long-term equity awards. The program is designed to be simple, consistent with the size and nature of the Company, and comparable to those offered by other similarly sized companies in the industry to compete in acquiring talent and retaining key executives.
