Incentive-plan design — the Compensation Discussion & Analysis

Our executive compensation program is guided by our overarching philosophy of paying for demonstrable performance, seeking to emphasize variable pay over fixed pay to align the interests and objectives of our executives with those of our stockholders. We design our program so that a meaningful portion of our executive officers’ annual target total direct compensation is both “at-risk” and variable in nature, linking long-term incentive compensation to stockholder value creation and the achievement of goals linked to key performance metrics.
