Incentive-plan design — the Compensation Discussion & Analysis

The Company's compensation program is designed to attract and retain highly skilled personnel in the competitive life sciences industry. Executive compensation consists of base salary, annual discretionary bonus (targeted at 60% of salary for CEO, 40% for other NEOs), and equity awards (stock options and RSUs), with the goal of aligning executive interests with stockholder value creation and rewarding individual and company performance.
