Incentive-plan design — the Compensation Discussion & Analysis

We design our executive compensation program to promote the following philosophy and objectives: Attract and Retain. Compensation should be competitive with the compensation programs of our Peer Group to ensure that we attract and retain exceptional executives. Motivate. Compensation should motivate our executives to perform at the highest level and achieve our financial and strategic goals without encouraging excessive risk-taking. Align Interests. Compensation should align the interests of our executives and our shareholders with the goal of creating long-term shareholder value. Reward Performance. Compensation should depend on, and reward executives on the basis of, individual and Company short- and long-term performance and thereby foster a pay-for-performance culture.
