Incentive-plan design — the Compensation Discussion & Analysis

The Company's compensation philosophy is designed to align the interests of named executive officers with those of stockholders, motivate executives to make important contributions to performance, and attract and retain highly-qualified executives. The program utilizes base salary, annual cash bonuses based on corporate and individual goals, and long-term equity incentives (primarily stock options) to provide a means to build real ownership in the Company and contribute to executive retention.
