Incentive-plan design — the Compensation Discussion & Analysis

The Board of Directors believes that the alignment of the executive officers’ compensation with the Company’s performance results is a critical component of the analysis made by the Compensation Committee in recommending, and the Board of Directors in approving the compensation of the executive officers each year. The Compensation Committee believes that the significant existing equity ownership of the executive officers continues to align their interests with those of stockholders.
