Incentive-plan design — the Compensation Discussion & Analysis

System1 provides a fixed base salary component to NEOs (other than CEO) reflecting skill, experience, role and responsibilities, with equity awards and annual cash incentives tied to operating and financial performance including adjusted EBITDA, and one-time discretionary bonuses for extraordinary performance.
