Incentive-plan design — the Compensation Discussion & Analysis

Executive officers are employed by Contran and provide services to Kronos Worldwide pursuant to an Intercorporate Services Agreement (ISA), with compensation determined by Contran's cost of employing personnel allocated based on estimated time devoted to Kronos. The company does not grant equity compensation to executive officers and relies on the alignment of interests through the controlled company structure and the ISA fee structure.
