Incentive-plan design — the Compensation Discussion & Analysis

Our compensation philosophy (which is intended to apply to all members of management, including Principal Executive Officer (PEO) who is our Chief Executive Officer), as implemented by the Compensation Committee of our Board (the Committee), is to provide a compensation program that provides competitive levels of compensation and that emphasizes incentive compensation plans and equity plans that are designed to align management incentives and behavior with attaining our annual goals and longer-term objectives.
