Incentive-plan design — the Compensation Discussion & Analysis

The Compensation Committee believes that an emphasis on equity awards that include time-based vesting and continued employment obligations aligns the interests of executive management with our stockholders. The Committee determined to grant time-based RSUs rather than performance-based equity awards in FY 2026 because, given the Company’s current size, strategic priorities, and focus on growing shareholder equity, time-based vesting provides appropriate alignment with long-term stockholder interests while supporting retention.
