Incentive-plan design — the Compensation Discussion & Analysis

The Company's primary objective is to attract, motivate, and retain highly qualified executive officers and align their interests with shareholders through a competitive compensation program consisting of base salary, annual cash bonus, restricted stock awards, and benefits. The Board utilizes restricted stock awards principally as a long-term retention incentive to support leadership continuity, given that executives already maintain significant stock ownership.
