Incentive-plan design — the Compensation Discussion & Analysis

The primary objective of the Company’s executive compensation program is to attract and retain qualified executives by providing a competitive combination of base salary, annual cash incentives, and benefits aligned with the Company's financial objectives. The Compensation Committee does not utilize equity-based incentives, as the Company is a controlled company with low trading volume where stock price is not driven by financial results.
