Incentive-plan design — the Compensation Discussion & Analysis

Kelly's executive compensation philosophy is to provide market-based pay opportunities with incentive payouts aligned with the achievement of the Company’s overall short- and long-term business strategy, performance goals, and results. The design allocates total compensation to fixed and variable pay elements, ensuring a majority of senior officer compensation is 'at risk' and based upon corporate and business unit results, share price performance, and individual performance to drive sustainable long-term shareholder value.
