Incentive-plan design — the Compensation Discussion & Analysis

The Company's executive compensation philosophy is designed to attract, retain, and motivate high-performing leaders who drive long-term shareholder value. The Committee believes that executive pay should be: Market competitive to attract and retain the best possible executive talent. Performance-based: A significant portion of total compensation is tied to the achievement of financial and strategic goals. Transparent and simple: We strive for clarity in our compensation programs so they are easily understood by executives, stockholders and other stakeholders. Market aligned and balanced: Our pay mix is market driven and includes fixed and variable components, with a strong emphasis on long-term equity incentives. Designed to align management and stockholder interest over time by maintaining a compensation program with a strong performance orientation. Responsive to stockholders: We regularly engage with stockholders and consider their feedback, including results from our annual say-on-pay vote, in shaping compensation practices.
