Incentive-plan design — the Compensation Discussion & Analysis

Our executive compensation program is structured to be predominately performance-based and equity-oriented and is intended to align our executives' realized pay with the Company's financial results and long-term value created for shareholders. The program is designed to attract, motivate and retain high-caliber executives while reinforcing accountability for delivering sustainable value. We ground our compensation decisions in four guiding tenants: pay for performance, alignment with shareholder interests, competitive pay, and balance of risk versus reward.
