Incentive-plan design — the Compensation Discussion & Analysis

Our compensation philosophy is to provide overall compensation that is competitive with biotechnology peers to attract and retain the highest caliber executive talent. Key objectives of our executive compensation program include: Supporting our business strategy; Aligning pay with company performance and executive officer performance with shareholder interests; Attracting, retaining and motivating our executive officers and maintaining competitiveness with companies we compete with for talent; Rewarding success in building both short- and long-term growth; Weighting pay deliberately toward "at risk" performance-based compensation; Ensuring that our pay practices are executed consistently and fairly for all executives, regardless of ethnicity or gender; Motivating performance that aligns with our corporate values of integrity, scientific excellence, teamwork, innovation and mutual respect.
