Incentive-plan design — the Compensation Discussion & Analysis

The compensation committee seeks to increase stockholder value by rewarding performance tied primarily to the success of development projects, aligning executive interests with stockholders, and providing competitive total compensation to attract and retain talent. The program is designed so that the majority of executive compensation is variable, at-risk, and dependent on Company performance, with the Long-Term Incentive Plan (LTIP) intended to be the primary element of incentive compensation.
