Incentive-plan design — the Compensation Discussion & Analysis

Our executive compensation program is intended to attract and retain executive officers and to align the interests of our executive officers with those of our stockholders. The Compensation Committee's objectives for our programs include, but are not limited to, the following: offer competitive total compensation opportunities, reflecting industry standards, and balance the need for talent with reasonable compensation expense; enhance stockholder value by focusing management on financial metrics that drive value; emphasize at-risk compensation versus fixed compensation; attract, motivate and retain executive talent willing to commit to long-term stockholder value creation; and discourage excessive risk taking.
