Incentive-plan design — the Compensation Discussion & Analysis

Our compensation philosophy is designed around certain key objectives: Attract, Develop and Retain Top Executive Talent; Pay for Performance; Significant Portion of Pay is in the Form of Variable Compensation. Our executive compensation program: Must be competitive with compensation paid by companies in the same or similar markets for executive talent; Rewards performance by linking compensation to Company performance and achievement of corporate performance goals; Aligns realized compensation with long-term stockholder returns by delivering a significant portion of NEO compensation in the form of equity compensation, the value of which is directly linked to our stock price; Aligns NEO and stockholder interests by requiring NEOs to own and hold our stock for a specified period of time.
