Incentive-plan design — the Compensation Discussion & Analysis

The compensation program is designed to attract and retain talented executives in the highly competitive technology and software industries, reward and retain executives whose skills are critical to success, balance retention with pay-for-performance compensation, and motivate executives to meet short- and long-term objectives. Executive compensation is heavily weighted toward at-risk, performance-based pay, with 93% of the CEO's compensation and an average of 83% of other NEOs' compensation being at-risk in fiscal 2024.

Clawback policyThe company maintains a compensation recovery (clawback) policy requiring recovery of excess incentive compensation (cash or equity) from current or former executive officers in the event of an accounting restatement due to material noncompliance with financial reporting requirements, covering the three-year period preceding the restatement determination, administered by the Human Capital Committee.
