Incentive-plan design — the Compensation Discussion & Analysis

preserve the financial strength, safety and soundness of the Company and the Bank; reward and retain key personnel by compensating them in the range of salaries at comparable financial institutions and making them eligible for annual cash bonuses based primarily on the Company's performance; focus management on maximizing earnings while managing risk by maintaining high asset quality, managing interest rate risk within Board guidelines, emphasizing cost control, establishing adequate compliance programs and maintaining appropriate levels of capital; and provide an opportunity to earn additional compensation if the Company's stockholders experience returns through stock price appreciation and/or dividends.
