Incentive-plan design — the Compensation Discussion & Analysis

The Company’s executive compensation philosophy is based on providing total compensation that attracts, motivates and retains individuals with the knowledge, expertise and experience required for each specific role, delivering an appropriate proportion of the total compensation package through variable pay elements linked to performance over the short- and long-term, encouraging and rewarding performance that will lead to long-term enhancement of stockholder value, and taking into account compensation practices in the markets in which the Company operates and competes for talent.
