Incentive-plan design — the Compensation Discussion & Analysis

The Company's goal for its executive compensation, as well as its non-executive compensation program, is to attract, motivate, and retain a talented, ethical, and creative executive team who will provide leadership for the Company's success in dynamic and competitive markets, while remaining attuned to the risks facing the Company. The Company seeks to accomplish this goal in a way that rewards performance, is aligned with its business strategy, and maximizes shareholders' long-term interests.
