Incentive-plan design — the Compensation Discussion & Analysis

In setting the salaries of the NEOs, the Compensation Committee seeks to provide competitive market salaries, considering individual performance for the prior year and the Company's prior year financial results. The Compensation Committee also considers comparative peer salary data from the peer group and believes that base salaries are set at levels that enable the Company to hire and retain individuals in the banking/finance industry that can drive achievement of the Company's overall objectives.
