Incentive-plan design — the Compensation Discussion & Analysis

We believe that in order to create value for our stockholders, it is critical to attract, motivate and retain key executive officer talent by providing competitive compensation packages that reward our executives for company performance. Accordingly, the objectives of our executive officer compensation program are to: Attract and retain a highly-skilled team of executive officers who have the expertise to successfully execute on our business plans within the highly competitive life sciences industry; Motivate and reward the achievement of performance goals that directly correlate to increasing stockholder value; and Align the interests of our executives with the interests of our stockholders by tying compensation to the achievement of short- and long-term strategic and financial goals and stock price performance.
