Incentive-plan design — the Compensation Discussion & Analysis

Our executive compensation philosophy is designed to achieve the following objectives: To align executive compensation with the Company's strategic, business, and corporate social responsibility and sustainability objectives, and the creation of long-term value for our stockholders, without encouraging unnecessary or excessive risk-taking; To provide an incentive to achieve key strategic, operational, and financial performance measures by linking annual cash incentive award opportunities and a substantial portion of long-term incentive award opportunities to the achievement of specific performance objectives; To provide a majority of target TDC for our NEOs in the form of long-term incentive equity awards; To set total compensation to be competitive with peer group companies, taking into account our active portfolio management strategy and the skill set required to implement that strategy; and To help the Company attract, retain, and incentivize talented and experienced individuals in the highly competitive West Coast and Austin, Texas employment and commercial real estate markets.
