Incentive-plan design — the Compensation Discussion & Analysis

Our pay philosophy is focused on incentivizing the shared success of our stockholders and employees, and therefore every full-time employee is eligible to receive equity as part of their annual compensation. We have structured our compensation programs to support our core values of Performance, Innovation, Integrity and Transparency and: Aid in the recruitment and retention of key personnel; Encourage sound business strategy and execution that leads to long-term shareholder value; Incentivize employees to think like stockholders; Establish elements of compensation (base salary, annual short-term incentive and long-term incentive targets) that are fair, equitable and competitive in the markets in which we operate; Develop performance-driven programs that are based on clearly-defined metrics benefiting shareholders; Emphasize a culture of safety and seek to support collaboration and innovation in the organization; and Boost our ability to continue to achieve one of the lowest voluntary employee turnover rates in our peer group.
