Incentive-plan design — the Compensation Discussion & Analysis

The Company seeks to attract, retain and motivate top executive talent through a competitive total direct compensation program consisting of base salary, annual cash incentive awards, and long-term equity incentive awards, with a greater emphasis on LTI awards for more senior executives. The Compensation Committee seeks to achieve an appropriate balance between annual cash rewards that encourage achievement of annual financial and non-financial objectives, and LTI awards that encourage positive long-term stock price performance, reflecting a pay-for-performance culture.
