Incentive-plan design — the Compensation Discussion & Analysis

The Compensation Committee strives to establish a compensation program for the executive officers of the Company that meets the following objectives: 1. attracts and retains executive officers and provides fair compensation, taking into account responsibilities and the employment markets in which the Company and its subsidiaries compete; 2. rewards executive officers for achieving the Company's short-term business goals and long-term creation of stockholder value while at the same time not encouraging excessive risk taking; and 3. aligns the interests of the Company's executive officers and stockholders.
