Incentive-plan design — the Compensation Discussion & Analysis

Twin Disc's compensation philosophy is designed to attract and retain key employees and reward them for short-term and long-term performance by aligning the interests of Named Executive Officers with those of shareholders through a pay-for-performance approach. The program consists of base salary, annual incentives, and long-term incentives, with a significant portion of compensation tied to corporate performance and heavily weighted toward equity-related awards.
