Incentive-plan design — the Compensation Discussion & Analysis

Ionis designs its compensation structure to drive the creation of long-term stockholder value and mitigate unnecessary or imprudent business risk taking by using a balanced mix of fixed and variable cash incentives and long-term stock incentives. The company ties a significant portion of executive compensation to Company performance, ensuring that at-risk cash awards and performance-based equity are not guaranteed and can be zero if performance targets are not met.
