Incentive-plan design — the Compensation Discussion & Analysis

The Committee bases executive compensation on principles designed to align the interests of executives with those of stockholders, providing a direct link between the Company's values, objectives, business strategies, and financial results and compensation earned. The program aims to be competitive with the retail industry to attract and retain key executives, rewarding both short- and long-term success while subjecting executives to downside risk if performance objectives are not met.
