Incentive-plan design — the Compensation Discussion & Analysis

The Compensation Committee's objective is to provide a compensation program with strong and direct links between corporate objectives and financial performance, individual performance and compensation in order to foster the creation of shareholder value and align the interests of management with shareholders. The framework consists of base salary, annual bonus, and share-based compensation, with a significant portion of total compensation being variable and 'at-risk' to tie pay to individual and company performance.
