Incentive-plan design — the Compensation Discussion & Analysis

Coupa's executive compensation program is guided by the overarching philosophy of paying for demonstrable performance. The program is designed to attract, motivate, reward and retain highly talented executive officers while establishing a direct link between financial and operational results and executive compensation. A substantial portion of target total direct compensation is variable and at-risk, aligned with stockholder value creation through annual cash bonuses and long-term equity awards.
