Incentive-plan design — the Compensation Discussion & Analysis

Our executive compensation program is guided by our overarching philosophy of paying for performance, structuring compensation to be competitive, reward achievement of business objectives, and align named executive officers' interests with those of shareholders. The program is designed so that a meaningful portion of annual target total direct compensation is variable, with the majority of compensation delivered in the form of variable (or 'at risk') compensation.
