Incentive-plan design — the Compensation Discussion & Analysis

Our executive officer compensation program is grounded in a pay-for-performance philosophy and is intended to meet three principal objectives: Attract and retain key executive leaders with proven track records in their areas of expertise; Motivate our management team to create long-term value for our stockholders by tying a significant portion of executive compensation to company performance goals (including goals relating to the achievement of strategic business objectives, product development, financial performance, and cash position); and Effectively manage the risks and challenges inherent in a commercial stage biotechnology company.
