eHealth strives to balance the need to compete for executive talent with maintaining a reasonable and responsible cost structure, while promoting closer alignment of executive officers' interests with stockholders' interests. The Company designs executive compensation programs to provide the majority of compensation in the form of variable, at-risk pay earned based on performance, with pay directly linked to performance and an emphasis on creating sustainable, profitable growth and long-term stockholder value. The Compensation Committee exercises judgment to establish a total compensation mix of current, short- and long-term incentive compensation and cash and non-cash compensation appropriate to achieve corporate objectives.
