Incentive-plan design — the Compensation Discussion & Analysis

The overall objectives of our executive compensation policies and programs are to: attract, retain and motivate superior executive talent; provide incentives that reward the achievement of performance goals that directly correlate to the enhancement of stockholder value, as well as to facilitate executive retention; align our executives interests with those of our stockholders; link pay to Company performance; and offer pay opportunities that are competitive with the biotechnology market in which we compete in order to recruit and retain top talent, while maintaining reasonable cost and dilution to our stockholders.
