Incentive-plan design — the Compensation Discussion & Analysis

The Company's executive compensation philosophy is to attract and motivate executive talent by tying a significant portion of compensation to the Company's success in meeting specified annual corporate financial performance goals and, through stock-based awards, aligning executive interests with stockholders. The program emphasizes a pay-for-performance approach, with base salary intended to be a modest percentage of total compensation and long-term incentives paid in stock-based awards.
