Incentive-plan design — the Compensation Discussion & Analysis

The overall compensation philosophy of the Compensation Committee and management is guided by the following principles: Compensation levels should be sufficiently competitive to attract and retain key talent. Compensation should relate directly to performance and responsibility. Short-term incentive compensation should constitute a significant portion of total executive compensation. Long-term incentive compensation, the Company's Management Incentive Plan (the MIP), should be closely aligned with shareholders interests.
