Incentive-plan design — the Compensation Discussion & Analysis

Lexicon seeks to attract and retain key executives and motivate management to enhance long-term stockholder value by targeting total cash compensation (base salary plus annual cash bonus target) and total direct compensation at or near the median of a peer group of biopharmaceutical companies, contingent on company and individual performance and prevailing financial conditions. The committee allocates a greater percentage of total direct compensation to long-term stock-based incentive awards to reinforce alignment of interests between officers and stockholders.
