Incentive-plan design — the Compensation Discussion & Analysis

The Company's executive compensation program is designed to attract, motivate, and retain highly qualified executive officers, who are vital to achieving the financial goals set by the Board of Directors and enhancing long-term value for shareholders, while operating the Company in a safe and sound manner. The Company's executive compensation philosophy provides that total annual compensation levels should: (1) reflect compensation levels of those found in other banking organizations of comparable asset size, performance and geography; (2) reflect individual responsibilities, team contribution, team leadership, experience, skill set, teamwork and performance; and (3) provide incentive to achieve business and financial objectives within reasonable risk parameters.
