Incentive-plan design — the Compensation Discussion & Analysis

The Company's compensation philosophy is to pay for performance with the primary intention of creating long-term value for our stockholders. To achieve this, our executive compensation program is based on the following objectives: Market-Competitive: Provide a market-competitive level of total compensation that reflects the individual executive officer's role and ability to impact business performance; Performance-Based: Establish an explicit link between compensation and both overall business results and stockholder returns over short- and long-term periods; Long-Term Focus: Promote a long-term focus for our executive officers through incentive compensation that is earned and/or vests over multiple years; and Align with Stockholders: Align the interests and objectives of our executive officers and employees with furthering our growth and creating stockholder value through the use of equity awards.
