Incentive-plan design — the Compensation Discussion & Analysis

The Compensation Committee reviews and approves each executive's compensation annually and is responsible for ensuring that compensation for the executive officers is consistent with four objectives: attracting and retaining superior executive talent to drive sustainable value creation, providing incentives that reward the achievement of performance goals that correlate to sustainable shareholder value, aligning executives' incentives with long-term shareholder interests, and ensuring market competitiveness and internal equity.
